Cleaning Doctor Terms of Services

General Conditions of Sale of Cleaning Doctor Limited Products

All orders are accepted and all sales made subject to the terms and conditions on the invoice and the following provisions. Proceeding with any order shall be deemed acceptance by the Buyer of these terms and conditions.

‘Products’ refer to any of the items sold by Cleaning Doctor Limited.

1. Acceptance

1.1 All orders and sales contracts are subject to acceptance by Cleaning Doctor Limited. No order is binding unless and until accepted.
1.2 Acceptance of an order constitutes a binding contract, subject to availability and the current price of the Products at the time of shipment, unless otherwise agreed in writing.

2. End Use

2.1 The Buyer is solely responsible for determining the suitability of the Products for their intended use.
2.2 Cleaning Doctor Limited accepts no liability for loss, damage, or injury arising from the use or possession of the Products.
2.3 The Buyer shall indemnify Cleaning Doctor Limited against any related claims.

3. Warranty

3.1 Products will conform to the specifications on the invoice.
3.2 Liability for breach of warranty is limited to replacing or covering the cost of equivalent Products.
3.3 Cleaning Doctor Limited is not liable for consequential loss or damage.
3.4 Nothing in this section excludes rights conferred under the Trade Practices Act 1974.

4. Risk of Loss

4.1 Risk passes to the Buyer upon delivery to the Buyer’s nominated carrier, regardless of who pays the freight.

5. Retention of Title

5.1 Cleaning Doctor Limited retains ownership of the Products until fully paid.
5.2 This includes website renewals and domain rentals.
5.3 If unpaid after 28 days, Products may be reclaimed by Cleaning Doctor Limited.

6. Orders for Indefinite Delivery

6.1 Cleaning Doctor Limited may fulfill such orders as it sees fit and hold Products at the Buyer’s risk and expense until shipping instructions are provided.

7. Indemnity

7.1 The Buyer shall indemnify Cleaning Doctor Limited against all liability arising from:

• 7.1.1 Any wilful or negligent act by the Buyer.

• 7.1.2 Misleading warranties or representations made by the Buyer.

8. Liability

8.1 All conditions and warranties are excluded to the extent permitted by law.
8.2 For non-consumer goods, liability is limited to replacement or equivalent supply.

9. Change or Cancellation of Orders

9.1 Orders may not be modified or cancelled without written consent.
9.2 Cleaning Doctor Limited may deduct delivery charges if incorrect information delays delivery or if an order is cancelled in transit.

10. Contingencies

10.1 Cleaning Doctor Limited is not liable for delays or inability to deliver due to events beyond its control, including natural disasters, strikes, or government actions.
10.2 Supplies may be allocated at the company’s discretion during shortages.

11. Quantity Variations

11.1 For non-standard or custom orders, Cleaning Doctor Limited reserves the right to vary the quantity supplied by up to ±10%, and the Buyer must accept and pay accordingly.

12. Quotations

12.1 All quotations are non-binding and subject to change without notice.

13. Terms of Payment

13.1 Cleaning Doctor Limited may require:

• 13.1.1 Payment with the order,

• 13.1.2 Sight draft payment, or

• 13.1.3 Collection fee reimbursement.
  13.2 Invoices are payable in UK currency unless stated otherwise.
  13.3 Future-dated invoices may be issued.

14. Freight

14.1 Freight within the UK & Ireland is pre-paid unless stated otherwise.
14.2 Buyer covers additional costs for alternate transportation methods.
14.3 Buyer is responsible for insurance during transit.
14.4 Freight rate increases may be added without notice.

15. Returnable Containers

15.1 Containers remain Cleaning Doctor Limited property and must be returned within 60 days in good condition for deposit refund.

16. Return of Products

16.1 Unused Products may be returned within 2 months with written permission.
16.2 A 20% restocking fee may apply.
16.3 Additional collection charges may also be applied.

17. Commencement of Suit

17.1 Legal action must commence within 2 years of the cause of action.

18. Entire Agreement

18.1 These terms constitute the entire agreement between the Buyer and Cleaning Doctor Limited and may only be amended in writing and signed by both parties.

19. Applicable Law

• 19.1 For Products sold in the Republic of Ireland: governed by EU law, subject to Irish court jurisdiction.

• 19.2 For Products sold outside the EU: governed by the destination country’s law.

20. Assignment

20.1 Rights and duties under this contract may not be transferred without written consent.

21. Standard Terms

21.1 These terms apply to all future contracts unless otherwise agreed in writing.
